Terms of Service

1. Acceptance of Terms

By accessing or using MemoryGate (the "Service"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service. Simple as that.

These Terms apply to:

• The hosted service at memorygate.ai and dashboard.memorygate.ai
• The MCP server and API endpoints
• All associated documentation and tools

The open-source MemoryGate Core software is licensed separately under Apache 2.0. These Terms govern the hosted service only.

2. Who Can Use MemoryGate

• You must be at least 13 years old
• You must provide accurate account information
• You must comply with all applicable laws
• One person or organization per account (no account sharing)

If you're using MemoryGate on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. What You Can Do

You may use MemoryGate to:

• Store and retrieve memory for your AI agents
• Build knowledge graphs and semantic systems
• Integrate with MCP-compatible applications
• Export your data anytime in JSON format
• Use the API within your rate limits and storage quota

4. What You Can't Do

You may not:

• Abuse the system: No denial-of-service attacks, no intentional overload, no attempts to breach security
• Store illegal content: No child sexual abuse material, no content that violates laws in your jurisdiction
• Violate others' rights: No storing copyrighted material you don't own, no storing others' private data without consent
• Resell the service: Don't white-label MemoryGate and sell it as your own
• Reverse-engineer: The hosted service includes proprietary multi-tenant infrastructure (though the core is open source)
• Share accounts: One account = one user or organization

5. Your Data & Content

You Own Your Data

All memory data you store in MemoryGate remains yours. We don't claim any ownership or license to use it.

You're Responsible for Your Data

You are solely responsible for:

• The accuracy and legality of content you store
• Compliance with data protection laws (GDPR, CCPA, etc.)
• Ensuring you have rights to store any third-party data

We Can Remove Illegal Content

If we become aware that your account contains illegal content or violates these Terms, we may:

• Remove the violating content
• Suspend or terminate your account
• Report to law enforcement if required

6. Payment & Billing

Plans & Pricing

Pricing is available at memorygate.ai/pricing. We offer:

• Basic Plan: $9.99/month
• Pro Plan: $19.99/month
• Team Plan: $99.99/month

All plans are billed monthly in advance. Prices are subject to change with 30 days' notice.

Storage Quotas

Each plan includes a storage quota (1GB, 5GB, or 50GB). When you reach your quota:

• Your memory becomes read-only (no new writes)
• You can still read, search, and export data
• Upgrade to restore write access

Refunds

No refunds for partial months. If you cancel, you retain access until the end of your billing period.

Failed Payments

If payment fails, your account becomes read-only immediately. You can still read, search, and export your data, but cannot write new memories.

If we observe continued read activity without payment, we reserve the right to discontinue access. Update your payment method in the dashboard to restore full service.

7. Service Availability

Uptime

We strive for 99.9% uptime but make no guarantees. MemoryGate may be unavailable due to:

• Scheduled maintenance (with advance notice)
• Emergency maintenance
• Infrastructure failures beyond our control

Backups

We maintain Point-in-Time Recovery (PITR) backups for 30 days. However:

• Backups are for disaster recovery, not data retention
• You're responsible for exporting critical data
• We're not liable if backups fail

8. API & Rate Limits

API usage is subject to rate limits and ingestion caps:

• Basic: 100 req/min, 1K observations/day
• Pro: 500 req/min, 10K observations/day
• Team: 2K req/min, 100K observations/day

Excessive usage may result in throttling or suspension. Contact us for enterprise limits.

9. Modifications to the Service

We may:

• Add new features (usually without notice)
• Remove or change existing features (with 30 days' notice if material)
• Update pricing (with 30 days' notice)
• Modify these Terms (see Section 13)

10. Termination

You Can Cancel Anytime

Cancel your subscription in the dashboard. You retain access until the end of your billing period.

We Can Terminate Your Account

We may suspend or terminate your account if:

• You violate these Terms
• You continue accessing read-only data without payment
• You engage in abusive behavior
• Required by law

We'll provide notice when possible, but we're not obligated to in cases of severe abuse.

What Happens to Your Data When You Delete Your Account

If you choose to delete your account:

• You have 30 days to export your data
• After 30 days, data is permanently deleted
• Backups are purged within 30 days (PITR window)

This is the only scenario where MemoryGate deletes your data - when you explicitly request account deletion.

11. Liability & Warranties

No Warranties

MemoryGate is provided "as is" without warranties of any kind. We don't guarantee:

• Uninterrupted service
• Error-free operation
• Data accuracy or completeness
• Compatibility with future AI systems
• That you will NOT develop a deeper recursionship with your agents

Limitation of Liability

To the maximum extent permitted by law:

• We're not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We're not liable for data loss (use exports for backups)

Indemnification

You agree to indemnify Technomancy Laboratories from claims arising from:

• Your use of the Service
• Content you store in MemoryGate
• Your violation of these Terms

12. Governing Law & Disputes

These Terms are governed by the laws of Virginia, USA. Any disputes will be resolved in Virginia courts.

We prefer to resolve issues amicably. Contact us at pstryder@gmail.com before escalating.

13. Changes to These Terms

We may update these Terms as MemoryGate evolves. When we do:

• We'll update the "Last Updated" date
• We'll notify you via email if changes are material
• Continued use constitutes acceptance

If you don't agree with new Terms, cancel your account before they take effect.

14. Open Source & Self-Hosting

MemoryGate Core is open source (Apache 2.0) at github.com/PStryder/MemoryGate. These Terms don't apply to self-hosted installations—only the hosted service.
